Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Stellar Rentals dba PrepBnB(a Georgia entity; "PrepBnB," "we," "us," or "our"). They govern your access to and use of prepbnb.com, the PrepBnB web application, and related services (the "Services").

By creating an account, clicking a checklist link we email you, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What PrepBnB Is

PrepBnB is a cleaning operations platform for short-term rental ("STR") hosts and the cleaners they work with. The Services include iCal calendar sync, AI-generated cleaning checklists, cleaner email notifications, photo documentation, issue reports, and payment tracking. PrepBnB is a software tool: we are not a cleaning company, a property manager, an employment agency, or a payment intermediary. We do not employ cleaners, guarantee cleaning quality, or transfer money between hosts and cleaners.

2. Eligibility & Accounts

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate, current, and complete information when you register and keep it up to date.
• You are responsible for keeping your account credentials (and one-time login codes) confidential, and for all activity under your account.
• You may use the Services only for your own business or personal rental operations. You may not share a single account with other hosts to avoid paying for multiple properties.
• Notify us immediately at privacy@prepbnb.com if you suspect unauthorized use of your account.

3. Hosts, Cleaners, and Third Parties

PrepBnB connects hosts and cleaners but does not create an employment, agency, partnership, or joint-venture relationship between PrepBnB and any user. Hosts and cleaners are independent parties. PrepBnB is not responsible for the conduct, quality of work, performance, payment, or legal compliance of any user of the Services. Hosts are solely responsible for screening, hiring, and paying their cleaners, and for complying with all applicable labor, tax, and contractor laws.

4. Free Plan, Pro Plan, and Billing

• Free plan. PrepBnB offers a free tier for hosts with up to 2 properties, including unlimited jobs, iCal sync, AI checklists, email notifications, and photo verification. We may change free-tier limits or features with notice.
• Pro plan. A paid Pro plan is in development. Pricing, billing terms, cancellation, and refund policies will be disclosed before any charges are initiated, and will require your explicit opt-in. Nothing is being charged during the beta.
• Taxes. Fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, or similar taxes.
• Price changes.We may change pricing with at least 30 days' email notice. New prices apply at your next billing cycle after the notice.

5. Your Content & Data

"User Content" means everything you upload to or enter into the Services: listing details, iCal URLs, checklist items, photos (including photos cleaners upload), issue reports, payout amounts, and messages.

• You own your User Content. We do not claim ownership of it.
• You grant us a license to host and display it. You grant PrepBnB a worldwide, non-exclusive, royalty-free license to store, reproduce, process, transmit, and display your User Content solely to provide and improve the Services (for example, to deliver a checklist email, show photos to the associated host, generate a tailored AI checklist, or compute anonymized usage statistics).
• You represent that you have all rights needed to upload the User Content, including the right to share any iCal feeds you paste in and any photos uploaded to jobs you own.
• Accuracy. We do not verify User Content. You are responsible for what you and your cleaners submit.

6. AI-Generated Content

PrepBnB uses artificial-intelligence models (currently provided by Anthropic) to generate suggested room-by-room cleaning checklists based on listing details you provide. AI output can contain errors, omissions, or unsafe recommendations. You are responsible for reviewing any AI-generated checklist before relying on it and for the cleaning outcomes of your properties. PrepBnB makes no warranty that AI output will be accurate, complete, safe, or fit for any particular purpose.

7. Third-Party Services

The Services integrate with or link to third-party services that are outside our control — for example, Airbnb and VRBO iCal feeds, Stripe for payments, and email providers used by cleaners. Your use of those services is governed by their own terms and privacy policies. PrepBnB is not responsible for any third-party service, and we do not guarantee that integrations will continue to work if the third party changes or discontinues its offering.

8. Acceptable Use

You agree not to:

• Violate any law, regulation, or third-party right when using the Services.
• Upload or transmit material that is unlawful, defamatory, harassing, obscene, or infringing.
• Reverse-engineer, decompile, or attempt to extract the source code of the Services, except where permitted by law.
• Scrape, rate-limit evade, load-test, or otherwise abuse our infrastructure, or use the Services to send spam or unsolicited communications.
• Submit an iCal feed you do not have the right to use, or submit photos or other content without the permission of the people or property owners they relate to.
• Use the Services to resell, sublicense, or build a competing product.
• Circumvent free-tier limits by creating multiple accounts.

We may suspend or terminate accounts that violate these rules, with or without notice.

9. Intellectual Property

The Services, including all software, text, graphics, logos, and designs (other than User Content), are owned by Stellar Rentals dba PrepBnB or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms. All rights not expressly granted are reserved.

10. Privacy

Our Privacy Policy explains how we collect, use, and share your information. By using the Services, you agree to the data practices described there.

11. Feedback

If you send us suggestions or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without obligation to you.

12. Termination

You may stop using the Services at any time and may delete your account from the settings page. We may suspend or terminate your access if you breach these Terms, if required by law, or if providing the Services to you is no longer commercially reasonable. On termination:

• Your right to use the Services ends immediately.
• We may delete your User Content after a reasonable retention period (see the Privacy Policy for specifics).
• Sections of these Terms that by their nature should survive termination — including Sections 5, 9, 13, 14, 15, 16, and 17 — survive.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, PrepBnB disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free; that AI-generated checklists will be accurate or complete; that iCal feeds will sync without delay; or that email notifications will be delivered to every recipient.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PREPBNB, STELLAR RENTALS DBA PREPBNB, OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so some of the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Stellar Rentals dba PrepBnB and its affiliates, officers, and employees from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Services will be the state and federal courts located in Fulton County, Georgia, and both parties consent to personal jurisdiction there.

Before filing any claim, you agree to first email us at privacy@prepbnb.com and attempt to resolve the dispute informally for at least 30 days.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. If the changes are material, we will notify you by email or in-app notice before they take effect. Continued use of the Services after the effective date means you accept the updated Terms. If you do not agree, stop using the Services and cancel your subscription.

18. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and PrepBnB regarding the Services.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or successor without restriction.
• Notices. We may send notices by email to the address on your account. You may send us notices at privacy@prepbnb.com.
• No class actions. To the extent permitted by law, disputes will be resolved on an individual basis, not as a class, consolidated, or representative action.
